Welcome to ZoeVoip.com ("ZoeVoip," "Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of ZoeVoip’s VoIP telecommunications services, website, applications, messaging features (including SMS/MMS where available), and related services (collectively, the "Services").

By creating an account, submitting a form, purchasing Services, or using the Services, you agree to these Terms.

1) Eligibility & Account Registration

You must be at least 18 years old and legally capable of entering into binding contracts.

You agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of your login credentials
  • Notify us promptly of unauthorized use
  • Be responsible for all activity under your account

We may suspend or terminate accounts for inaccurate information or violations of these Terms.

2) Description of Services

ZoeVoip provides Voice over Internet Protocol (VoIP) telecommunications services and related communication tools. Service quality depends on internet connectivity, equipment compatibility, and third-party network providers.

We do not guarantee:

  • Uninterrupted or error-free service
  • Compatibility with all devices
  • Availability in all geographic locations

Emergency calling (including 911/E911) may have limitations compared to traditional telephone service. You are responsible for reviewing and understanding any 911/E911 disclosures provided with your Services.

3) Payment Terms

  • Service fees are billed one (1) month in advance.
  • Payment must be made by valid credit card (or other payment method we accept).
  • By subscribing, you authorize recurring charges in advance for service fees.
  • Charges are non-refundable unless required by law.
  • Taxes, regulatory fees, and surcharges may apply.

Late Fees & Failed Payments

  • If an account becomes 30 days past due, a $25.00 late fee may be applied.
  • If a charge is declined or returned, a $25.00 processing fee may be assessed.
  • Accounts more than 30 days past due may be suspended or terminated until payment is received.
  • We may use collection services for unpaid balances where permitted by law.

4) User Responsibilities

You agree not to:

  • Use the Services for illegal purposes
  • Conduct fraud, spoofing, robocalls, scams, or abusive activity
  • Send unsolicited bulk communications or spam
  • Interfere with network integrity
  • Reverse engineer or tamper with the Services
  • Resell Services without written authorization

You are responsible for maintaining compatible equipment and secure internet connectivity.

5) SMS/MMS Messaging Terms (Text Messaging)

If you provide a mobile phone number and opt in to receive text messages from ZoeVoip, you consent to receive SMS/MMS messages at that number.

A. Types of messages you may receive (SMS use cases)

Messages may include:

  • Account notifications and service updates
  • Appointment, installation, or scheduling coordination
  • Support responses and troubleshooting updates
  • Billing reminders and payment-related notices
  • Security alerts
  • Promotional or marketing messages (only where permitted by law and based on your consent/preferences)

Message frequency may vary.
Carrier Disclaimer: Mobile carriers are not liable for delayed or undelivered messages.

B. Opt-out and help (unsubscribe instructions)

You can opt out at any time by replying STOP to any text message. After you opt out, you may receive one final message confirming your opt-out.

C. Message and data rates

Message and data rates may apply depending on your mobile carrier plan.

D. Consent scope

SMS consent is not a condition of purchase. You represent that you are the subscriber or authorized user of the mobile number you provide.

E. Mobile number sharing (for compliance consistency)

We do not sell your mobile phone number. We do not share your mobile number or SMS opt-in consent with third parties or affiliates for their own marketing or promotional purposes. We may share your number only with service providers (such as messaging platforms and carriers) as necessary to deliver messages, and they may only use it to provide services to us.

6) Service Limitations & Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Continuous or uninterrupted availability

We are not responsible for:

  • Internet outages
  • Power failures
  • Third-party carrier failures
  • Emergency service limitations
  • Force majeure events

7) Limitation of Liability

To the maximum extent permitted by Florida law:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, or loss of data.
  • Our total liability for any claim will not exceed the amount you paid to ZoeVoip in the previous one (1) month.

8) Indemnification

You agree to indemnify and hold harmless ZoeVoip, its officers, employees, contractors, and affiliates from claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

  • Your misuse of the Services
  • Violation of these Terms
  • Violation of applicable laws or regulations

9) Suspension & Termination

You may cancel service at any time through your account portal (if available) or by contacting us.

We may suspend or terminate Services immediately if:

  • Payment fails or the account becomes past due
  • Fraudulent, abusive, or illegal activity is detected
  • These Terms are violated

Termination does not relieve outstanding payment obligations.

10) Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

Any legal action must be brought exclusively in state or federal courts located in Florida.

11) Modifications

We may update these Terms at any time. We will post the updated Terms with a new effective date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

Acceptable Use Policy (AUP)

This Acceptable Use Policy governs use of ZoeVoip Services. Violations may result in immediate suspension or termination.

Prohibited Uses

You may not:

  • Engage in fraud, phishing, spoofing, robocalls, or scam activity
  • Violate TCPA, FCC, or telecommunications regulations
  • Send spam or bulk unsolicited communications
  • Send SMS/MMS messages without the recipient’s consent or fail to honor opt-out requests (e.g., STOP)
  • Harass, threaten, or abuse individuals
  • Transmit unlawful, infringing, or defamatory content
  • Distribute malware
  • Conduct denial-of-service attacks
  • Resell services without written authorization

Enforcement

ZoeVoip may:

  • Monitor usage to maintain service integrity and investigate abuse
  • Suspend or terminate accounts
  • Report unlawful activity to authorities where appropriate

Payment Terms

All service fees are billed one (1) month in advance.

  • Payment must be made exclusively by valid credit card.

  • By subscribing, you authorize ZoeVoip to automatically charge your credit card monthly in advance for recurring service fees.

  • Charges are non-refundable unless required by law.

  • Taxes, regulatory fees, and surcharges may apply.

Late Fees & Failed Payments

  • If an account becomes 30 days past due, a $25.00 late fee will be applied.

  • If a credit card charge is declined, returned, or otherwise fails (“bounced payment”), a $25.00 processing fee will be assessed.

  • Accounts more than 30 days past due may be suspended or terminated until full payment is received.

ZoeVoip reserves the right to use collection services for unpaid balances. Customer is responsible for reasonable collection costs where permitted by law.
